1. Acceptance of Terms

By accessing or using the MergeTasks platform, website, and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree, do not use the Service.

2. Description of Service

MergeTasks is a cloud-based order management and client webstore platform designed for promotional product distributors. The Service includes order processing, proposal generation, client webstores, analytics, and related tools.

3. Account Registration

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

  • The Service is offered on a subscription basis. Pricing details are provided during onboarding.
  • Subscriptions renew automatically unless cancelled before the renewal date.
  • All fees are non-refundable except as expressly stated in these Terms or required by law.
  • We reserve the right to modify pricing with 30 days' written notice.
  • Early access pricing is honored for the duration of your active subscription plan as agreed at the time of onboarding.

5. Your Data

5.1 Ownership

You retain all rights to the data you upload, create, or manage through the Service ("Your Data"). We do not claim ownership of Your Data.

5.2 License

You grant us a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service.

5.3 Multi-Tenant Isolation

Your Data is logically isolated from other customers' data. We implement strict access controls to prevent unauthorized cross-tenant access.

5.4 Data Export

You may export Your Data at any time through the platform's export functionality. Upon account termination, we will make Your Data available for export for 90 days.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malware, viruses, or harmful code
  • Resell, sublicense, or redistribute the Service without written consent
  • Upload content that infringes on intellectual property rights of others

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the exclusive property of MergeTasks and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

8. Uptime and Support

  • We target 99.9% uptime for the Service, excluding scheduled maintenance.
  • We will provide reasonable notice for planned maintenance windows.
  • Support is available via email during business hours. Response times depend on your subscription tier.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or secure.
  • Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless MergeTasks and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Termination

  • You may cancel your subscription at any time through account settings or by contacting us.
  • We may suspend or terminate your access if you breach these Terms, with notice when practicable.
  • Upon termination, your right to use the Service ceases immediately. Your Data remains available for export for 90 days.
  • Sections that by their nature should survive termination (Limitation of Liability, Indemnification, Governing Law) will survive.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or through the Service. Continued use after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MergeTasks regarding the Service and supersede any prior agreements.
